1. Agreement to Terms

By accessing or using the GroceryApp website (groceryapp.com) and our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.

These Terms apply to all visitors, users, and clients of our website and services. We reserve the right to update these Terms at any time, and your continued use of our services constitutes acceptance of any changes.

2. Services Description

GroceryApp provides custom grocery delivery application development services, including but not limited to:

  • Mobile application development (iOS and Android)
  • Web application development
  • Admin panel and dashboard development
  • UI/UX design services
  • API development and integrations
  • Technical consultation and advisory
  • Post-launch support and maintenance

Specific deliverables, timelines, and costs for each project are defined in individual project agreements or statements of work (SOW) between GroceryApp and the client.

3. Client Obligations

As a client, you agree to:

  • Provide accurate and complete information required for project execution
  • Respond to communications and feedback requests in a timely manner
  • Provide necessary access, credentials, and resources as outlined in the SOW
  • Review and approve deliverables within agreed timelines
  • Make payments according to the agreed payment schedule
  • Not use our services for any unlawful purpose

4. Intellectual Property

4.1 Client Ownership

Upon full payment, all custom code, designs, and deliverables created specifically for your project shall be transferred to you, the client. You will own all intellectual property rights to the final deliverables as specified in the project agreement.

4.2 GroceryApp Ownership

GroceryApp retains ownership of:

  • Pre-existing code, libraries, and frameworks used in development
  • Proprietary tools, methodologies, and processes
  • General knowledge and skills gained during the project
  • The GroceryApp brand, logo, and website content

4.3 Portfolio Rights

Unless otherwise agreed in writing, GroceryApp reserves the right to showcase the project in our portfolio and marketing materials, including general descriptions and screenshots.

5. Payment Terms

  • Payment terms are defined in individual project agreements or proposals
  • Standard payment structure is milestone-based as outlined in the SOW
  • All prices are in US Dollars unless otherwise specified
  • Late payments may incur interest at a rate of 1.5% per month
  • We reserve the right to pause work on projects with outstanding payments exceeding 15 days
  • Refunds are handled according to the refund policy outlined in the project agreement

6. Project Timelines

Project timelines are estimates provided in good faith based on the defined scope. Timelines may be affected by:

  • Changes in project scope or requirements
  • Delays in client feedback or approvals
  • Unavailability of required resources or access
  • Force majeure events

We will communicate any timeline changes promptly and work collaboratively to minimize impacts.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. We provide a bug-fix warranty period as specified in your project agreement (typically 30-90 days post-launch).

7.2 Disclaimer

EXCEPT AS EXPRESSLY SET FORTH HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

7.3 Third-Party Services

We are not responsible for the performance, availability, or terms of third-party services integrated into your project (e.g., payment gateways, mapping services, hosting providers).

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROCERYAPP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO GROCERYAPP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the project. This includes business strategies, technical specifications, financial information, and trade secrets.

Confidentiality obligations survive the termination of any project agreement for a period of two (2) years.

10. Termination

Either party may terminate a project agreement under the following conditions:

  • For Convenience: With 30 days written notice. Client is responsible for payment of all work completed up to the termination date.
  • For Cause: If either party materially breaches the agreement and fails to cure the breach within 15 days of written notice.
  • Non-Payment: GroceryApp may terminate if payment is overdue by more than 30 days.

Upon termination, GroceryApp will deliver all completed work and work-in-progress upon receipt of all outstanding payments.

11. Indemnification

You agree to indemnify and hold harmless GroceryApp, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of San Francisco County, California.

13. Website Use

When using our website, you agree not to:

  • Use the website for any unlawful purpose
  • Attempt to gain unauthorized access to any portion of the website
  • Interfere with or disrupt the website or servers
  • Scrape, copy, or reproduce website content without permission
  • Upload malicious code or attempt to exploit vulnerabilities
  • Impersonate any person or entity

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
